Advising on Brand Representation Agreement
Black Antelope Law was instructed by the manager of the performing artist, PK, to review and advise on a Brand Representation Agreement with one of the "Big Three" record companies.
In advising on the proposed agreement, Black Antelope Law had a detailed discussion with PK's management team to understand what their goals and objectives were if they were to enter into a Brand Representation Agreement; if there were any deal-breakers; and the commercial considerations to be addressed.
After advising on the initial draft agreement whose terms were not favourable to PK, Black Antelope Law represented PK at a meeting with the record company's senior executive to discuss and negotiate the terms of the agreement further.
Although the parties were able to agree some changes to the initial draft agreement, based on our advice, PK and the management team took the view that the terms offered by the record company were insufficient to tie themselves into a Brand Representation Agreement and they politely declined the offer.
